License Agreement

1. License Grant

Agile Codex Ltd. grants the customer a limited, non-exclusive, non-transferable license to install and use the purchased software for the Magento installation, website, domain, environment, or project covered by the purchase.

The software is licensed, not sold. Agile Codex Ltd. and its licensors retain all ownership, copyright, intellectual property, and other rights in the software.

2. Permitted Use

• You may install and use the purchased extension for your own Magento store or for a client project covered by the purchase.
• You may make reasonable code changes needed for compatibility, configuration, deployment, or integration with the licensed Magento installation.
• You may create internal backups of the purchased files for deployment, disaster recovery, and maintenance.
• You may use the extension on development, staging, and production environments for the same licensed project.

3. Restrictions

Unless Agile Codex Ltd. gives prior written permission, you must not:

• Resell, sublicense, rent, lease, share, publish, or redistribute the software or source code.
• Use one purchase to supply the extension to multiple unrelated clients, stores, domains, or projects.
• Upload the software to public repositories, marketplaces, file-sharing sites, forums, or other public locations.
• Remove copyright, license, author, or attribution notices from the source files.
• Claim ownership of Agile Codex products or sell modified Agile Codex products as your own extension.
• Use the software for unlawful, abusive, fraudulent, or harmful activity.

4. License Scope

Unless a separate written agreement or invoice states otherwise, a license covers one live Magento project and its non-public development or staging copies. A separate license may be required for each additional unrelated live store, client, domain, or commercial project.

If your deployment requires a broader license scope, contact Agile Codex Ltd. before using the software outside the original purchased project.

5. Updates and Support

Updates and support are provided according to the product page, order terms, support plan, or separate written agreement active at the time of purchase.

Support normally covers installation guidance, extension configuration, confirmed product defects, and compatibility issues within the supported Magento and PHP versions stated for the product. Support does not automatically include custom development, third-party extension conflicts, theme customization, server administration, data repair, or work caused by unsupported modifications unless separately agreed.

6. Modifications

You may modify the software for your licensed project, but modifications are your responsibility. Agile Codex Ltd. may ask for access to an unmodified copy or a clean test environment when diagnosing a reported issue.

Modified files remain subject to this License Agreement and may not be redistributed outside the permitted license scope.

7. Third-Party Components

Some products may include or depend on Magento, Adobe Commerce, PHP libraries, JavaScript libraries, or other third-party components. Those components remain subject to their own licenses and terms. This License Agreement applies only to Agile Codex software and materials.

8. Delivery and Account Access

Agile Codex products are digital software products. After successful payment or approved delivery, access may be provided through customer account downloads, email, direct delivery, or another method agreed with Agile Codex Ltd.

You are responsible for keeping your account credentials, downloaded files, and license information secure.

9. Refunds

Refund requests are handled according to the refund terms published on AgileCodex.com or the written terms agreed for the order. Because the products are digital source-code products, receiving and using the files may limit refund eligibility except where required by law.

10. Disclaimer of Warranty

The software is provided on an "as is" and "as available" basis to the fullest extent permitted by law. Agile Codex Ltd. does not warrant that the software will be uninterrupted, error-free, compatible with every customization or third-party extension, or suitable for every business purpose.

11. Limitation of Liability

To the fullest extent permitted by law, Agile Codex Ltd. shall not be liable for indirect, incidental, special, consequential, punitive, or business-loss damages, including loss of revenue, loss of profit, loss of data, downtime, or loss caused by store configuration, custom code, third-party services, hosting, or unsupported modifications.

12. Termination

This license may terminate if you materially breach this License Agreement and do not remedy the breach after notice where a remedy is possible. After termination, you must stop using the software and remove unauthorized copies from systems under your control.

13. Governing Law

This License Agreement is governed by the laws of Bangladesh, unless a separate written agreement with Agile Codex Ltd. states otherwise.

14. Changes to This Agreement

Agile Codex Ltd. may update this License Agreement from time to time. Updated terms become effective when published on this page, except where an existing written agreement states different terms for a specific order.
